The framework is owned by C³ Continuity Limited. You are buying a licence to use it inside your organisation. You are not buying the framework itself. The full legal terms govern in the event of any conflict with this summary.
1. Definitions

| Authorised Users | All employees, officers, contractors, and agents of the Licensee who use the Licensed Materials on behalf of the Licensee. |
| C³ Framework | The C³ Continuity Model, comprising the three-spoke structure, the Continuity Quotient formula, the sixteen governance metrics, the threshold trigger framework, and all associated methodology. |
| Intellectual Property Rights | All patents, copyright, trade marks, trade names, domain names, design rights, database rights, know-how, and all other intellectual property rights, whether registered or unregistered, anywhere in the world. |
| Licence Fee | The amount paid by the Licensee in consideration of this licence, as set out at the point of purchase. |
| Licensed Entity | A single legal entity, board, governing body, or governance-accountable unit licensed to use the Licensed Materials. Each board, governing body, or governance-accountable unit operating within a federated or group structure (including each school within a multi-academy trust, each subsidiary within a group, each hospital within a healthcare system, and each entity within an integrated care system) constitutes a separate Licensed Entity. |

2. Licence Grant
2.1Subject to the terms of this Agreement and payment of the Licence Fee, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable licence to use the Licensed Materials during the Term for the Permitted Purpose only.
2.2The licence covers all Authorised Users within the Licensee's organisation. It does not extend to any subsidiary, parent, affiliated company, or other legal entity, each of which requires a separate licence.
2.3The Licensee may make copies reasonably necessary for the Permitted Purpose, provided all copies retain all IP notices, branding, and attribution statements contained in the originals.
2.4The Licensee may adapt the Board Briefing to reflect its own organisational context, provided that: (a) the C³ Framework, the CQ formula, and the Assessment Questions are not modified; (b) all attribution to C³ Continuity Limited and Unbreakable by Design is retained; and (c) adapted materials are used solely for the Permitted Purpose.
3. Permitted Purpose
3.1The Permitted Purpose means the internal implementation and use of the C³ Framework within the Licensee's organisation, including: (a) administering the Assessment Questions to the Licensee's employees; (b) aggregating and analysing Assessment Data for governance, workforce planning, and organisational development; (c) presenting findings to the Licensee's board, executive team, and management; and (d) incorporating the C³ Framework into the Licensee's governance processes and reporting cycles.
3.2Use in connection with any commercial offering to clients, customers, or third parties is expressly prohibited.
3.3The licence covers the Licensee’s organisation as a single Licensed Entity. For the avoidance of doubt, each board, governing body, or governance-accountable unit operating within a federated or group structure — including each school within a multi-academy trust, each subsidiary within a group, each hospital within a healthcare system, and each entity within an integrated care system — constitutes a separate Licensed Entity and requires its own licence. Multiple Team Kit workbooks may be operated within a single Licensed Entity without additional licence fees.
4. Restrictions
4.1The Licensee shall not: (a) sell, rent, lease, transfer, assign, or sub-license the Licensed Materials; (b) use them in any commercial offering to third parties; (c) remove or obscure any IP notices or branding; (d) reproduce or publish them externally without prior written consent; (e) reverse engineer any software component; (f) infringe the Licensor's IP Rights; or (g) use Assessment Data in any manner prohibited by clause 7.
4.2Consultants, advisers, or other third parties who wish to use the C³ Framework with client organisations require a separate practitioner licence from the Licensor. Use of the Licensed Materials by a third party in connection with services provided to the Licensee does not constitute internal use for the purposes of this Agreement.
5. Intellectual Property
5.1The Licensed Materials and the C³ Framework, including all IP Rights, are and shall remain the exclusive property of the Licensor. This Agreement does not transfer any ownership of IP Rights to the Licensee.
5.2The Licensee acknowledges that the C³ Framework, the CQ formula, and the Assessment Questions are proprietary and constitute confidential know-how of significant commercial value.
5.3The Licensee shall promptly notify the Licensor of any actual or suspected infringement of the Licensor's IP Rights.
6. Licence Fee and Payment
6.1The Licence Fee is payable in full at the point of purchase. The licence is granted upon receipt of cleared funds.
6.2All payments are final and non-refundable. No refund will be given after the download link has been issued, under any circumstances, save only where a refund is expressly required by mandatory applicable law that cannot be excluded by agreement.
6.3The Licensor reserves the right to update the Licence Fee for future purchases.
7. Data Protection and Employee Assessment Data
7.1The Licensed Materials are designed for use with anonymised, aggregated Assessment Data only. The C³ Framework is not designed, licensed, or intended for any use involving identified individual Assessment Data.
7.2The Licensee shall not use Assessment Data in connection with any performance management, disciplinary, grievance, redundancy, promotion, or other employment decision process. Any such use is a material breach and is expressly prohibited.
7.3The Licensee is the data controller for all Assessment Data. The Licensor does not receive, process, or store any Assessment Data and is not a data processor under UK GDPR or equivalent legislation.
7.4The Licensee is solely responsible for: (a) compliance with all applicable data protection legislation; (b) establishing a lawful basis for processing; (c) conducting a DPIA where required; (d) providing employees with appropriate privacy notices; and (e) maintaining the anonymity protections described in the Licensed Materials.
7.5The Licensor makes no warranty that use of the Licensed Materials will ensure compliance with any data protection legislation. Compliance is the Licensee's sole responsibility.
7.6Where the Licensee operates outside the United Kingdom, the Licensee is solely responsible for compliance with all applicable local data protection, privacy, and employment laws.
8. No Professional Advice
8.1The Licensed Materials do not constitute legal, financial, medical, human resources, or any other professional advice. The C³ Framework is a governance methodology only.
8.2The Licensee is responsible for taking its own independent professional advice in connection with the implementation of the C³ Framework.
8.3Nothing in the Licensed Materials shall be construed as a guarantee that any particular outcome will result from implementation.
9. Disclaimer of Warranties
9.1The Licensed Materials are provided 'as is'. To the fullest extent permitted by law, the Licensor disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.2–9.3The Licensor does not warrant that the Licensed Materials will meet the Licensee's specific requirements, that they will be error-free, or that the outputs will accurately reflect the condition of the Licensee's organisation at any particular time.
10. Limitation of Liability
10.1To the fullest extent permitted by law, the Licensor's total aggregate liability shall not exceed the Licence Fee paid by the Licensee.
10.2The Licensor shall not be liable for loss of profits, revenue, business, goodwill, data, or any indirect, special, or consequential loss, whether or not foreseeable.
10.3Nothing in this Agreement limits or excludes the Licensor's liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
10.4The Licensee shall indemnify and hold harmless the Licensor from any claims arising from: (a) use of the Licensed Materials other than in accordance with this Agreement; (b) breach of data protection or employment legislation; or (c) any employment claim arising from the Licensee's use of Assessment Data.
11. Term and Termination
11.1This Agreement commences on the date of download and continues unless terminated in accordance with this clause.
11.2The Licensor may terminate with immediate effect by written notice if: (a) the Licensee commits a material breach not remedied within 14 days; (b) the Licensee becomes insolvent or enters administration; or (c) the Licensee uses Assessment Data in a manner prohibited by clause 7.2.
11.3On termination, the Licensee shall immediately cease all use of the Licensed Materials, destroy or return all copies, and certify this in writing if requested.
11.4Clauses 5, 7, 9, 10, and 13 shall survive termination.
12. Updates and New Versions
12.1This licence covers the version of the Licensed Materials downloaded at the point of purchase. It does not entitle the Licensee to updated or new versions published after the date of download.
12.2Updated versions may be made available for separate purchase.
13. General
13.1Entire agreement. This Agreement constitutes the entire agreement between the parties relating to the Licensed Materials.
13.2Variation. The Licensor may update this Agreement from time to time. The version in force at the date of download governs that download.
13.3–13.8Severance, waiver, third parties, governing law (England and Wales), jurisdiction (courts of England and Wales), and language (English) apply in the standard form.

These materials are licensed, not sold. Use is subject to the terms of the End-User Licence Agreement accepted at the point of download. No part of these materials may be reproduced, distributed, or used in any commercial offering to third parties without the prior written consent of C³ Continuity Limited.
