Terms of Sale

What these terms cover These Terms of Sale govern the purchase transaction — the purchase, payment, and download. Use of products once downloaded is governed by the End-User Licence Agreement, which forms part of every purchase. All C³ products are sold for business use only. Consumer protection legislation does not apply.

1. Seller details

C³ Continuity Limited. Registered in England and Wales, Company No. 17121773, VAT No. GB 516708290. Registered office: 63 Tomline Road, Felixstowe IP11 7PA. Registered with the Information Commissioner's Office (ICO).

2. Products and pricing

2.1Products are digital downloads delivered via Payhip secure checkout. Products available and current prices are listed at c3continuity.com.
2.2All prices are in pounds sterling (GBP) and are shown exclusive of VAT. VAT at the prevailing rate is added at checkout where applicable.
2.3Prices may change from time to time. The price applicable to any purchase is the price displayed at the time of that purchase.
2.4All products require Microsoft Excel 365 or Excel 2021 or later. Earlier versions of Excel, LibreOffice, and Google Sheets are not compatible. It is the buyer's responsibility to ensure compatibility before purchase.

3. Payment

3.1Payment is taken in full at the point of purchase via Payhip.
3.2The licence is granted on receipt of cleared funds. Download links are issued automatically by Payhip following successful payment.
3.3C³ Continuity Limited does not receive or store payment card details. Payment processing is handled entirely by Payhip.

4. Delivery

4.1Products are delivered by digital download immediately following successful payment. Download links are provided by Payhip by email.
4.2Download links are valid for the period stated by Payhip at the time of purchase. It is the buyer's responsibility to download and retain the files within that period.

5. Business use only

5.1All C³ products are sold for business use only. By purchasing, the buyer confirms they are acting in a business capacity on behalf of an organisation.
5.2Consumer protection legislation, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, does not apply to these purchases.
5.3Each purchase covers a single Licensed Entity. Use by group companies, subsidiaries, or affiliated organisations requires a separate licence, subject to the Licensed Entity provisions in clause 3.3 of the EULA.

6. No refunds

6.1All sales are final. Because products are digital downloads delivered immediately on purchase, no refund will be given after the download link has been issued, except where required by mandatory applicable law.
6.2This no-refund policy applies to the fullest extent permitted by applicable law. Where mandatory statutory rights cannot be excluded, they are limited to the minimum extent required by law. No voluntary refund policy exists beyond these statutory minimums.
6.3By purchasing, the buyer confirms they have read the product description, verified compatibility with Microsoft Excel 365 or 2021 or later, and are satisfied the product meets their requirements.

7. IT policies and security

7.1C³ products are standard Microsoft Excel workbooks. It is the buyer's responsibility to ensure compliance with their organisation's IT security and acceptable use policies before downloading and deploying these files.
7.2C³ Continuity Limited accepts no liability for any issues arising from non-compliance with the buyer's internal IT policies.

8. Limitation of liability

8.1To the fullest extent permitted by applicable law, C³ Continuity Limited's total liability in connection with any purchase shall not exceed the purchase price paid.
8.2C³ Continuity Limited shall not be liable for any indirect, consequential, or special loss arising from the purchase or use of its products.
8.3Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

9. Intellectual property

9.1Purchase of a product grants a licence to use it as set out in the EULA. It does not transfer ownership of any intellectual property. The C³ Framework and all associated materials remain the proprietary intellectual property of C³ Continuity Limited.

10. International purchases

10.1These Terms are written under English law and are intended to apply globally. Buyers outside the United Kingdom are responsible for ensuring their purchase and use of the Licensed Materials complies with all applicable laws in their jurisdiction, including data protection, employment, and export control laws.
10.2US buyers: these Terms do not create any warranties under the Uniform Commercial Code or any US federal or state consumer protection statute. All products are sold for commercial use only. The disclaimer of warranties in clause 9 of the EULA applies in full.
10.3VAT and local sales taxes: buyers outside the UK are responsible for determining and meeting any local tax obligations arising from their purchase.

11. Governing law

11.1These Terms of Sale and any dispute arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory applicable law in the buyer's jurisdiction that cannot be excluded by agreement.
